Terms of Service

By accessing or using the Genius Lynx website at geniuslynx.com or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to any of these terms, you are prohibited from using or accessing this site.

We reserve the right to update these terms at any time without notice. It is your responsibility to review these terms periodically. Continued use of our services after changes constitutes your acceptance of the revised terms.

Genius Lynx provides web development, mobile app development, custom software, AI solutions, web hosting, IT consulting, Chrome extension development, and WhatsApp bot development services. Service engagements are governed by individual project agreements or statements of work (SOW), which supplement these Terms.

• All project scopes, timelines, and deliverables are defined in the project agreement.
• We reserve the right to refuse service to anyone for any reason.
• Service specifications are subject to change with reasonable notice.
• Third-party services integrated into projects are subject to their own terms.

Payment terms are specified in individual project agreements. General terms include:

• Advance Payment: Projects typically require a 30% advance payment before work commences.
• Milestone Payments: Remaining payments are due at agreed project milestones.
• Late Payments: Overdue invoices may attract a 2% monthly interest charge.
• Currency: All prices are in Indian Rupees (INR) unless otherwise agreed.
• Taxes: All amounts exclude applicable GST, which will be added to invoices.

Upon full payment of all project fees, you receive full ownership of the custom code and deliverables created exclusively for your project. The following exceptions apply:

• Open-Source Components: Third-party open-source libraries remain under their respective licences.
• Genius Lynx IP: Our proprietary frameworks, tools, and methodologies remain our property.
• Portfolio Rights: We retain the right to display completed projects in our portfolio unless otherwise agreed in writing.

You represent that all content provided to us for inclusion in your project does not infringe on any third-party intellectual property rights.

To the maximum extent permitted by applicable law, Genius Lynx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from:

• Your use or inability to use our services or deliverables.
• Any unauthorised access to or alteration of your data.
• Third-party conduct or content.
• Errors, omissions, or inaccuracies in our services.

Our total liability shall not exceed the total fees paid by you for the specific service giving rise to the claim in the six months preceding the claim.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Gujarat, India, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
